Let’s face it. We all need help at some point in our lives. Whether you need help preparing for an exam, clarification of a topic, reinforcement for a class, want to learn something new, or want to get ahead, we are here for you. We offer individual and group tutoring sessions, in-person and online for elementary through adult learners.

IMPORTANT BILLING INFORMATION

The tutoring and billing cycle begins on the 15th of each month. Invoices are sent on the 30th of each month and are due by the 14th of the following month to ensure seamless delivery of services.

AGREEMENT

This agreement is made between Greater MPower Tutoring, llc, referred to as the “Provider”, and the student, referred to as the “Student”. If the student is under the age of eighteen, then this agreement is between the Provider and the parent or legal guardian of the student, referred to as the “Parent”. If the student is under the age of eighteen, the Parent agrees to this contract on behalf of the student, and further agrees to enforce the Student’s compliance with the terms of this contract. By making payment to the Provider, the Student and Parent, as applicable, agree to all of the terms of this contract.

TERM

The term of this agreement is effective upon payment being made to the Provider. The contract will remain in effect until the number of tutoring hours purchased by the Student or Parent, as applicable, has been conducted.

DUTIES

The Provider agrees to assign a Tutor to the Student to provide instruction in the subject matter selected by the Student. The Student will make themselves available at the time agreed upon with their Tutor, for the hours agreed upon between the Provider and Student and Parent, as applicable. If the Provider cannot provide a Tutor, in the selected subject matter, within twenty-one days of payment either: (i) the Provider will refund the payment; or (ii) at the sole discretion of the Provider, the Provider will hold the payment until such time as a Tutor in the selected subject matter can be found. The Provider is not liable for assignments that are cancelled by the Student or Parent, as applicable.

NO WARRANTIES

The Provider makes no promises or warranties with regards to a Student's performance as a result of any tutoring provided.

OBLIGATIONS OF THE STUDENT

The Student undertakes to assist the Tutor in identifying problem areas in which the Student needs specific tutoring. The Student agrees that assignments, exercises, or homework form an integral part of tutoring and undertakes to complete such work timeously.

CANCELLATIONS

CANCELLATION OF LESSONS BY STUDENT The Student may cancel a session by giving at least 24 hours prior notice to the Tutor. If a lesson has been cancelled at least 24 hours in advance, a good effort by both parties must be made to arrange a make-up session. If the cancellation notice is not given in time, or the student fails to attend, no refund will be given, nor will the Tutor nor Provider be obligated to offer or provide a make-up session. If the student is late for a session, the tutor is not required to add extra time to the current or any future session. CANCELLATION OF LESSONS BY TUTOR In exceptional circumstances, a lesson may have to be cancelled and rescheduled, in which case the tutor will give as much notice to the student as possible.

PAYMENT

The Student or Parent, as applicable, agrees to make payments before services are rendered, at the payment frequency elected by the Student or Parent, as applicable. Tutoring sessions will not be scheduled until payment is made to the Provider by the Student or Parent, as applicable. If the Student and Parent, as applicable, are dissatisfied with the first hour of the tutoring session, the Provider, at its sole discretion may provide the Student with a replacement one hour session with the same Tutor, at no additional cost. Provider will provide one replacement hour of tutoring only once per six-month period, per individual student. The Student or Parent, as applicable will receive an invoice for services based on their payment option.

PAYMENT OPTIONS

The Student or Parent, as applicable, understands the payment plans options to be as follows: Option 1 - Full Year: due before the first session. Option 2 - Full Term: due by the beginning of each term. Option 3 - Monthly: paid on a month-to-month basis. Invoices are issued on the 30th of each month and due by the 15th of the following month.

LATE FEES

Payment is due by the 15th of each month. Invoices that are not paid by the 15th of the month will incur a 20% late fee after a 3-day grace period. The Provider reserves the right to suspend services with the Student until the account is brought current. Subsequent billing will not be pro-rated.

NONDISCLOSURE OF CONFIDENTIAL INFORMATION

The Student and Parent, as applicable, will not disclose any confidential information related to the Provider, including but not limited to company service strategies, operations, systems, techniques, marketing plans and tactics, private and commercial contacts, clients, tutors, contracts, financial matters, or expansion plans. Confidential information is defined as any information that is generally unknown to individuals who are not the Provider’s personnel. The Student and Parent, as applicable, also agree not to disclose any confidential information for three years after the termination of this agreement.

PROTECTION OF DOCUMENTS

The Student and Parent, as applicable, will not reconfigure or utilize the Provider’s copyrights, trademarks, logos, patents, documentation, or information relative to the aforementioned for personal or business gain. The Student and Parent, as applicable, also agree not to provide this information or a reconstructed version of this material to another individual for three years after the termination of this agreement.

REASONABLENESS

The Student and Parent, as applicable, knowingly, and voluntarily commits to this agreement.

DISPUTE RESOLUTION

All matters and any disputes hereunder shall be governed by and construed in accordance with the substantive laws of the State of Georgia, without regard to its conflict of law provisions. The Parties to this agreement hereby consent to the personal and exclusive jurisdiction and venue of the Georgia state courts. In the event of a dispute, the Provider, its Representatives, and the Student and Parent, as applicable, agree to participate in all available alternative dispute resolution mechanisms offered by the courts. The Provider will not be responsible for the legal fees of the Student or Parent, as applicable, even if the Student or Parent, as applicable, prevails in any dispute.

GENERAL PROVISIONS

This agreement constitutes the entire agreement between the parties with respect to the matters covered herein. No waiver by any party to enforce any provision of this agreement will be effective unless made in writing and signed by each party. No amendment or modification is effective unless made in writing and signed by each party.
